DEVELOPER shall replace or repair any defective or improper work or materials which may be recognized within three (3) years after completion of the improvements set forth in Paragraph one. For the purpose of this Agreement "completion" shall be deemed to have occurred when the MUNICIPALITY has inspected and approved the construction of all the improvements required by this Agreement and issued written notice to the DEVELOPER that the construction is complete. 4. For the guaranty of Developer's performance of all requirements herinabove set forth, and prior to the issuance of any zoning permit for O/� , Developer and Bank agree that the sum of 53S'GD shall be set aside and held in escrow by the Bank and shall be available for payment to the Municipality in accordance with the terms herein set forth. 5. If the Municipality shall file with the Bank a statement that the Developer is in the judgement of Municipality in default under the terms of this Agreement, the Bank shall from time to time pay monies from said escrow fund to the Municipality, in amounts not to exceed a total enabling the Municipality to complete improvements and requirements set forth in this Agreement. 6. The Municipality will promptly submit to the Developer a copy of such statement as it files with the Bank. The consent of the developer to such payment by the Bank to the Municipality shall not be required. The Bank shall incur no liability to the Developer on account of making such payment to the Municipality , nor shall the Bank be required to inquire into the propriety of any claim by the Municipality of default on the part of the Developer or into the use of such funds by the Municipality in completing such improvements. 7. The Municipality shall not file with the Bank a statement of default until thirty (30) days after notice has been sent by it to the Developer by certified mail, return receipt requested, setting forth its intention to do so. 8. All monies released by the Bank to the Municipality pursuant to paragraph five (5) shall be used by the Municipality solely for the purpose of performing obligations imposed upon the Developer by that portion of this Agreement upon which the Developer is then in default. Any work to be performed by the Municipality pursuant hereto shall be let on a contractual basis, or on a time and material basis or shall be performed by the Municipality with its own work force and equipment or shall be accomplished in such a manner as in the judgement of the Municipality shall accomplish the work most expeditiously and economically. 9. If monies are released by the Bank to the Municipality pursuant to paragraph five (5) and it shall later develop that a portion of the released monies are surplus to the Municipality's needs, any such surplus shall be refunded by the Municipality to the Bank to be held and distributed by the Bank pursuant to the terms of this Agreement. 10. The Bank will not refuse or delay to make such payments to the Municipality when requested by the Municipality by the appropriate statement, and Developer will not interfere with or hinder such payments by the Bank to the Municipality. Said statement shall contain a certificate of compliance with the notice requirements of paragraph seven (7) of this agreement. 11. This agreement shall terminate and shall be of no force or effect upon performance of all requirements contemplated hereby, and the completion of the warranty period set forth in paragraph three (3). �a 12. Access/circulation: Access is provided by a 29 foot wide curb cut on Gregory Drive. Consider site plan application of Harold and David Brown for use of property and existing barn as a golf driving range located at Brown's Animal Hospital, 017 Williston Road Ms. Bechtel said this had been approved by the Zoning Board with two stipulations - that lighting will be for security only and not for night use, and that there be some kind of barrier to prevent balls from landing in the neighbors' yards. Mr. Dugan noted that as part of the proposal, the applicant would make a better access to the property- There will be a shared curb cut with PJ's Auto which will be 24' wide. Mr. Dugan noted that he was acting for the owners of both properties here. They will sell each other land to make these improvements. Mr. Dugan said the golf tees would be oriented to the southwest to keep them away from neighbors' yards, and there will be low barriers between each of the tees to keep balls in a straight line. Mr. Lavallee said he lived in a house very close to this area and he felt this plan would make his house unsafe. He is about 240' from the tees, he said and he was concerned about being hit by fast-moving golf balls. Mr. Jacob felt some kind of barrier out a little ways from the Lavallee property was in order. Mrs. Maher asked why the airport is 5 e-Ahng a paved city street when it is not needed for just a few cars. She said that even though the Airport has said they will have a fence at the end of the road, fences can be removed, and the Commission is concerned that the road will become another major access to the Airport. Mr. Dooley said the plan showed the road directly opposite Shunpike Road, but it was his under standing that the road is not directly across. Mrs. Lafleur stressed that the City Manager had never approved a major road for this site, just an access for Brockway. In addition, Tate never said a road would be put in, and it is not part of their approval. Mr. Dooley expressed concern that a person with site plan approval is suddenly putting a road through the middle of the plan. The concensus of the Commission was that they wanted Tate to come back to the Commission to discuss what is happening. Mrs. Lafleur noted that an Environmental hearing has been scheduled and wanted to know the Commission's wishes as to what to convey to that Board. Mrs. Hurd said she would like to see an engineering study. Mr. Dooley felt that nothing should be done until the question of the violation of Tate's subdivision is settled. He felt the Environmental Board should be asked to continue the hearing until that time. Mrs. Maher said they better have recommendations in case the hearing goes forward. She felt a 20-foot gravel road would leave the city with the assurance that the airport is not planning for this to become a major access. She added she is very suspicious when a full standard road is proposed. Mr. Burgess said if it is the intention to discourage use of this road, the Commission should do everything in its power to do so. Mr. Dooley agreed. He said there is nothing to say what the airport will be like 10 years from now, and this road could become a major artery. If that's not good planning, it should be prevented. Mrs. Lafleur will check with the City Attorney as to the City's rights as far as Mr. Tate is concerned. 5) Consider revised site plan application of RIVCO for 15 additional parking spaces on Lot #6, Gregory Drive. Mr. Dugan said the 15 spaces will be: 4 on the southwest corner of the building and 11 down below. They would still be OK on coverage. He said the spaces are needed for sales- men coming to the building. Mrs. Maher felt there was a conflict between how land is zoned and what the state will allow. Mrs. Lafleur said if you have prime agricultural land, you can't get 2 units per acre. Mrs. Maher said she doubts the zoning for the Southeast Quadrant is correct. Mr. Poger noted that the developer didn't do in this case what he did for the development across the road, namely find out first what would be approved and then do it. Mr. Dooley felt the Commission could better spend its time on the rezoning question and the traffic over- lay on Shelburne Road. Mr. Dooley said the Commission had discussed the question of a meeting on the agricultural policy and concluded that the most productive use of its time in addressing that issue would be spent in discussing the Zoning Ordinance. The Commission would welcome Mr. Cobb's comments when it discusses how the development policy should affect the Zoning Ordinance. Members agreed that the next meeting would be on November 12th. The Commission reserves the right to schedule hearings and site inspections to review erosion control, and to evaluate and impose additional conditions with respect to erosion control, as they deem necessary. 9. The permittees shall apply to the District Conunission for approval for any change to a manufacturing process which would cause noxious or unhealthy emissions into the air or injection of toxic wastes into the soils. 10. The approved plans showed a deceleration lane on Williston Road for right turns into Gregory Drive. This improvement is required to meet the conditions of the approval since it was shown on the plan. The City also required a $30,000 letter of credit to complete paving, power poles and 1/ underground cable. Therefore, you should be assured that the City will require the completion of these improvements. The City also has provided for a future connector street to Kimball Drive at the back of this subdivision to ease the impact on this intersection. Furthermore, the State required three very specific improvements relating to the safety of this intersection in its Certificate of Compliance.
