RE: Lease Agreement dated October 18, 2001 (the "Existing Lease"), as amended,
between Heathcote Associates, L.P. (the "Landlord") and Shaw's Supermarkets, Inc.
(the "Tenant") containing approximately 66,328 square feet of Gross Floor Area (the
"Demised Premises") located at the Gateway Shopping Center, South Burlington,
Vermont (the "Shopping Center")
Signage Permit Notice
Dear Tenant:
Landlord hereby approves such Tenant's Signage Plans for Db-SIGN INTENT ONLY.
Please be advised, Owner/Landlord does hereby give consent for Bailey Sign, Inc. of Westbrook,
ME, to pursue and obtain all necessary permits for erecting Tenant's signage as approved herein.
Notwithstanding Landlord's Approval, Tenant's Signage Plans and Tenant's Work must comply
with all applicable terms and conditions set forth in the Lease.
Defined terms used herein shall have the meanings set forth in the Existing Lease, unless
otherwise defined herein.
Be advised that prior to any Tenant Work commencing at the Premises, Tenant is required
to schedule a meeting with Katen Tarantino, the property manager, to review and discuss
Tenant's plans for such Tenant Work (the "Pre-Construction Work Meeting"). The Pre-Tenant
Work Meeting shall be conducted at the Premises during normal business hours. Please contact

arrange the Pre-Construction Work meeting.
