§ 13-904.Powers and duties
(a)The manager shall carry out the policies laid down by the council and to that end he shall be the
chief executive officer and the head of the administrative branch of the city government and shall be
responsible to the council for the efficient administration thereof
(b)The manager shall attend all meetings of the council, except when his removal is being considered,
and keep them informed of the financial condition and future needs of the city and shall make such
reports as may be required by law,this charter, or ordinance, or may be requested by the council. He
shall make such other reports and recommendations as he may deem advisable, but may not vote.He
shall perform such other duties as may be prescribed by this charter, or required of him by law,
ordinance,or resolution of the council not inconsistent with this charter.
(c)The manager shall be an ex-officio member of all standing committees except the zoning board,but
may not vote.
(d)The manager shall prepare the annual budget and submit it to the council and be responsible for its
administration after adoption, in accordance with subchapter 13 of this charter.
(e)The manager shall compile for general distribution at the end of each fiscal year a complete report
on the fmances and administrative activities of the city for the year.
(f)The manager shall provide to the council a monthly financial statement,with a copy to the city
treasurer.
(g)The manager shall be responsible for the enforcement of all city laws and ordinances.
(h)The manager shall be responsible for the collection of all taxes due the city.
(i)The manager shall be the general purchasing agent of the city and purchase all supplies for every
department thereof.
(j)The manager shall be responsible for the system of accounts, except where otherwise delegated
under this charter.
(k)The manager shall be responsible for the operation of all departments of the city, not otherwise
provided for in this charter or the laws of the state.
(1)The manager shall have exclusive authority to appoint, fix the salary of, suspend and remove, all
employees of the city appointed by him subject to the provisions of this charter. He should advise the
council of his intention before appointing,removing, or suspending the head of a department.
(m)The manager may, when advisable or proper, delegate to subordinate officers and employees of the
city, any duties conferred upon him by this charter or by action of the council, and hold them
responsible for the faithful discharge of such duties, but the city manager shall remain ultimately
responsible to the council for all administrative actions under his jurisdiction.
(n)The manager, by letter filed with the city clerk, may appoint an officer or employee of the city to
perform his duties during his temporary absence or disability. In the event of failure of the manager to
make such designation, the council may by resolution appoint an officer or employee of the city to
perform the duties of the manager until he shall return or his disability shall cease. However, if the
manager has within his administration, formed and appointed the position of assistant city manager,
said assistant shall automatically assume the manager's responsibilities during his temporary absence or
disability.

RE: South Burlington City Manager Search
Attached are a number of documents, most of which we discussed at the City Council meeting on November 2, specifically:
-a proposed search timeline
-sample job ads and job descriptions from the towns of: Weathersfield, St. Albans Town and Norwich
-a draft ad for the South Burlington City Manager
-the scanned search agreement signed by Steve Jeffrey and sample advertising venues and rates will be sent separately
From my perspective, there are a couple of decisions for the council's consideration that I've highlighted in bold below.
Based on this timeline, the hiring process could potentially be completed by March 10th with a start date of April 26. As I said at
the meeting, the search process flows from the date an ad is placed with the International City County Management Association
(ICMA). Here I have assumed completing the ad and job description by December 1 to run in the Dec. 7 ICMA newsletter and
online. If that is too soon, the next deadline is Dec. 15 for a Dec. 21 run date. The job description must be completed along with
the ad, because the ad usually includes a web site address where applicants can access the job description. It is my
understanding that Chuck will work with the council to finalize the job description. If you need our help with that, please let me
know. Please let me know as soon as possible which deadline the council would like to pursue, Dec. 1 or Dec. 15.
The next step is to select the advertising venues in addition to ICMA. Please see the attached sample advertising spreadsheet for
some sample costs. We benefit from free advertising with other municipal leagues in New England, as well as graduate schools
with Masters in Public Administration programs in our region. The cost for newspapers and national organizations will depend on
the number of words and type of ad, so once you select where to advertise, we can get more accurate estimates of the cost. Feel
free to add or delete to the list provided. Please let me know which advertising venues you would like to use or if you'd like
to follow up to further discuss this item.
Since I will be on maternity leave tentatively from the end of January to the end of March, Karen Horn, VLCT's Director of Public
Policy and Advocacy will assume responsibility for this search. Karen and I have already coordinated on the proposed timeline,
and we'll continue to so until my leave starts. Liz Harrington, VLCT Research and Information Assistant will provide administrative
support throughout the search.

Municipal Manager
Job Description
(Revised September 16`h, 2009)
Nature and Scope of Position:
This is a responsible, administrative position that manages the affairs and serves the people of the
Town of Weathersfield, Vermont, under the direction of the Select Board. Pursuant to the powers
set forth in Title 24, Chapter 37, of the Vermont Statutes Annotated, the Municipal Manager shall
have general supervision of the affairs of the Town, be the administrative head of all departments
of the Town government, and be responsible for the efficient administration and operations of all
departments. (24 V.S.A. Section 1235)
The Municipal Manager directs and supervises three(3)supervisors and the municipal office staff,
including all full-time and part-time employees. The Municipal Manager does not supervise the
elected officials.
Major Duties and Responsibilities:
The Municipal Manager shall have the authority and have the duty to:
General:
O Perform duties required of the Town not allocated to the care of any particular
officer.
O Provide assistance to the Select Board as required.
O Perform other duties as assigned by the Select Board.
O Assist elected officials when requested and deemed appropriate.'
Personnel:
O Recruit, hire, evaluate, direct, and if necessary discipline and terminate Town
employees subject to the personnel policy approved by the Select Board as
authorized by 24 V.S.A. Section 1121. The Select Board shall be consulted prior
to hiring, or firing, a department head.

O Develop techniques among municipal employees, to disseminate information and
to promote team building.
Operations:
O Perform all the duties now conferred by law upon the road commissioner.
O Have charge, control, and supervision of the following matters as listed in 24
V.S.A. Section 1236 (4), (9):
• all public buildings and repairs as necessary; as well as all construction
done by the Town, unless otherwise specially voted by the Town Meeting.
• The maintenance of parks and playgrounds.
O Assist in the preparation and ensure the accuracy of the annual Town Report.
O Collect all current and delinquent taxes due the Town of Weathersfield, Village of
Perkinsville, and Ascutney Fire District No. 2, and to perform all the duties now
conferred by law upon the tax collector and collector of delinquent taxes.
O Sign all Town contracts, with the authorization of the Select Board.
O Plan and oversee all phases of various Town projects.
O Provide technical assistance and oversight to the Village of Perkinsville and
Ascutney Fire District No. 2.
Finance:
O Act as general purchasing agent of the Town, purchasing all supplies for every
department.
O Oversee all accounting.
O Supervise the expenditure of all special appropriations of the Town, unless
otherwise voted by the Town.
O Prepare a draft Town budget for the Select Board to review and amend as it deems
necessary.
O Seek and procure funding sources, including grant opportunities, and prepare
applications for grants for Select Board approval.
O Shall not issue orders upon the Town.
Planning:
O Assist the Select Board to develop, update, and implement long-range strategic
plans and capital improvement programs, including plans and budgets.
O Develop new program needs and directions, identify resources to accomplish
programs, and recommend actions to the Select Board.
O Develop systems and procedures to implement the policy decisions of the Select
Board.
O Attend or staff the Select Board meetings.
O Develop long-term solutions for specific Town needs.
O Ensure that standard operating procedures are in place and followed by all
departments.

Knowledge, Skills and Abilities:
O General knowledge of the operations of Vermont municipal government, and State
and Federal laws affecting municipalities.
O Working knowledge of municipal management and community problems and
potential solutions.
O Working knowledge of municipal, State, and Federal programs and decision-

O Working knowledge of financial administration and the design of financial
accounting and reporting systems.
O Working knowledge of the theory and practice of public personnel administration.

O While not a requirement, it is hoped that the Municipal Manager will take an active
interest in and attend a variety of Town functions outside the direct scope of the
duties of the position.
Education, Experience and Training Preferences:
O A Bachelor' s degree is preferred, and a Master' s degree is desired in public
administration or business management.
O Five(5) years prior,experience in governmental operations at a supervisory level,
or higher, with preference given to prior municipal or government experience.
O Equivalent additional experience in municipal management may be substituted for
the degree.
O Town residency is strongly encouraged. The Municipal Manager shall reside no
more than thirty (30) minutes travel under normal highway conditions from the
Town offices.

O Possession of a valid driver' s license and a personal vehicle to use when traveling
on Town business
O This is a regular, full time, salaried position. By virtue of the nature of the job, the
Municipal Manager is always on call. This position may require working hours

JOB DESCRIPTION
JOB SUMMARY
This is a responsible management position that directs and drives the affairs of the Town of St.
Albans under the supervision of the Selectboard pursuant to the powers set forth in Chapter 37 of
Title 24 of the Vermont Statutes Annotated.
GENERAL DUTIES AND RESPONSIBILITIES
The Town Manager shall have general supervision of the affairs of the Town, is the administrative
head of all departments of Town government and shall be responsible for the efficient
administration thereof. This person shall also be the Town Service Officer, Deputy Health Officer
and Deputy Animal Control Officer.
SPECIFIC DUTIES AND RESPONSIBILITIES
• General supervision of the Town
• Administrative head of all departments
• Perform all duties not committed to another office
• Perform all Selectboard's duties except the following: prepare tax bills, sign orders, call
town meetings, lay out highways or parks, make assessments, award damages, act as a
member of the Board of Civil Authority and fill vacancies which the selectmen are
authorized by law to fill; but the manager shall assist the Selectboard members with any
of these matters at their request.
• Recruit, hire, evaluate, and direct, and, if necessary, discipline, and terminate, Town
employees subject to the personnel policy approved by the Selectboard. The
Selectboard will be consulted prior to hiring or terminating any employee or before
abolishing any position.
• Vigorously seek out funding sources for the Town (such as grants, bonds and loans) and
to apply for these funding sources with the approval of the Selectboard and administer if
obtained
• Be the general purchasing agent for all Town departments
• Oversee and supervise construction, repairs and maintenance of all town buildings and
facilities
• Plan and oversee various Town projects, such as, but not limited to, construction
projects,to include: setting budgets, putting projects to bid, working with contractors or
vendors, setting request for proposals and bid specifications, ditching, paving, sidewalk
construction, road reconstruction, retaining wall construction, infrastructure
improvements, catch basins, drainage pipes and water and sewer projects
• Responsible for all the accounting for all of the departments of the Town
• Develop and manage the town budget including presentation of a proposed budget to the
Selectboard, monitoring expenses and revenues, and performing cost control activities
• Supervise and expend all special appropriations of the Town, as if the same were a
separate department of the Town, unless otherwise voted by the town
• Serve as the Road Commissioner
• If the Town so votes, collect all taxes due the Town and perform all duties conferred by
law upon the collector of taxes
• Administer all municipal insurance policies, to include, but not limited to, review of current
coverages, maintain competitive premiums and pursue necessary additions or deletions
to insurance policies
• Serve as the primary contact with the Town attorney, coordinate communication between
the Selectboard, legal counsel, and Town boards and commissions on legal matters and
manage the Town's legal budget
• Maintain a positive working relationship with the St. Albans Town Fire Department
• Maintain a positive working relationship with the City of St. Albans regarding the Water
and Wastewater Services Agreement
• Oversee and manage the following: the system of licenses if any, not otherwise regulated
by law; the lighting of streets, highways and bridges; the sprinkling of streets, highways
and bridges; and the maintenance of parks and playgrounds
• Render the Selectboard such assistance, as they shall require
• Develop new program directions and needs, identify resources to accomplish programs
and recommend action to the Selectboard
• Develop systems and procedures to implement policy decisions of the Selectboard and
execute its decisions
• Attend all Selectboard meetings, regular, special, or otherwise, and facilitate the
development of and carry out their policy and service decisions
• Attend meetings and, or, communicate with other boards, commissions, community
groups, state or regional groups, as requested by the Selectboard
• Prepare the agenda for Selectboard meetings and promote better informed decision
making by the Selectboard during meetings by investigating and making
recommendations on questions and issues coming before the Selectboard

1. BASIC FUNCTION
1.1. This is a responsible administrative position that manages the affairs of the Town
of Norwich under the direction of the Selectboard pursuant to the powers set forth
in Chapter 37 of Title 24 of the Vermont Statutes Annotated.
2. GENERAL DUTIES AND RESPONSIBILITIES:
2.1. The Town Manager shall have general supervision of the affairs of the Town, is the
administrative head of all departments of Town government and shall be
responsible for the efficient administration thereof
3. SPECIFIC DUTIES AND RESPONSIBILITY:
3.1. The manager shall have authority and have the duty:
3.1.1. To cause duties required of the Town,not committed to the care of any
particular officer,to be duly performed and executed.
3.1.2. To perform all duties now conferred by law upon the Selectboard, except
that the manager shall not:
3.1.2.1. prepare tax bills,
3.1.2.2. sign orders on any funds of the Town,
3.1.2.3. call special or annual Town meetings,

when in conflict with the Town Manager's contract, in which case the contract
shall take preference.
3.3. To perform all the duties now conferred by law upon the road commissioner of the
Town, including the signing of orders.
3.4. To be the general purchasing agent of the Town and purchase all supplies for every
department thereof
3.5. To have charge and supervision of all public Town buildings, and repairs thereon;
and all building done by the Town shall be done under the manager's charge and
supervision.

remove all officers and employees thereof.

3.9.6. The sprinkling of streets and highways and laying of dust,except the

3.9.7. The maintenance of parks and playgrounds.
3.10. To be the Director of Emergency Management
3.11. To collect all taxes due the Town and to perform all the duties now conferred by
law upon the collector of taxes and collector of delinquent taxes.
3.12. The manager shall, in all matters herein excepted,render the Selectboard such
assistance,as they shall require.
3.13. Recruits,hires, evaluates,directs, and, if necessary,disciplines and fires Town
employees.
3.14. Carries out work program of the Town approved by the Selectboard.
3.15. Develops new program directions and needs, identifies resources to accomplish
programs, and recommends action to the Selectboard.
3.16. Develops systems and procedures to implement policy decisions of the
Selectboard and executes its decisions.
3.17. Staffs the Selectboard and its meetings and facilitates the development of and
carries out their policy and service decisions.
3.18. Assists the Selectboard to develop,update and execute a long-range, strategic
plan.
3.19. Prepares a draft Town budget for the Selectboard to review,change if it deems
necessary and present to the voters for approval.
3.20. Assists the Selectboard in negotiations of collective bargaining contracts with
bargaining units recognized by the Vermont Labor Relations Board. Shall act as
the designated representative of the Selectboard in the negotiations and
recommend Selectboard action on the contract proposal presented to them for
approval.

VERMONT LEAGUE OF CITIES AND TOWNS
THIS AGREEMENT,made and entered into as of the j day of November,2009 by
and between the Vermont League of Cities and Towns,hereinafter referred to as the
"LEAGUE,"and the City of South Burlington,Vermont,hereinafter referred to as the
"CITY."
WHEREAS,the CITY has determined that there is a need for assistance in the
recruitment for the position of City Manager;
WHEREAS,the LEAGUE is prepared to provide professional staff assistance upon the
terms and conditions of the mutual covenants,promises and agreements contained herein,
the parties agree to the following:
A. IT IS MUTUALLY AGREED BY THE PARTIES HERETO AS FOLLOWS:
1. That this agreement shall become effective upon approval by the CITY and
the LEAGUE.
2. That this agreement may be amended, in writing,by mutual consent of the
CITY and the LEAGUE.
3. That the LEAGUE is an independent contractor and is not to be considered an
employee of the CITY for any purpose.
B. THE LEAGUE AGREES TO PROVIDE THE FOLLOWING ASSISTANCE:
1. Review job description;
2. Draft job posting(s)for approval by the city;
3. Place advertisements in appropriate publications and on websites;
4. Receive applications at the LEAGUEoffice;
5. Review and rank applications;
6. Assist the selectboard in developing a list of interviewees;
7. Provide the selectboard with any assistance in designing and/or conducting
an interview process;
3. Maintain correspondence with applicants throughout the process;
9. Conduct reference checks and background investigations of the finalists;
10. Manage expenses to ensure total cost does not exceed$6,000 unless the
search is reopened;
11. Provide any additional management and personnel assistance requested by the
CITY.
C. THE CITY AGREES AS FOLLOWS:
1. To provide all information necessary to conduct the recruitment process.
2. To pay the LEAGUE at a rate of$85.00 per hour for professional services and
$45.00 per hour for professional support services plus reimbursement for
advertising and expenses incurred during the course of the project. Contract
fees and expenses shall be paid upon receipt of a bill from VLCT.
The provisions hereof are binding on the parties hereto,their successors and assigns.

(a) The planning commission shall exercise all powers and duties as provided for planning commissions by
the laws of the state for a municipality that has established a development review board under Chapter 117
of Title 24. The commission may appoint subcommittees composed of its own members or other persons
and may employ consultants, when necessary for the performance of its duties, subject to the limitation of
its budget and the approval of the expenditure by the Council.
(b)The commission shall be responsible to the Council and shall assume all duties imposed upon it by said
Council in addition to those duties referred to in subsection(a).
§ 13-901.Appointment
The council shall appoint a city manager for an indefinite term.
§ 13-902. Qualifications
The manager shall be chosen solely on the basis of his executive and administrative and professional
qualifications.
§ 13-903. Oath; bond
Before entering upon his duties, the manager shall be sworn to the faithful performance of his duties by the
city clerk and shall give a bond to the city in such amount and with such sureties as the council may
require.
§ 13-904. Powers and duties
(a)The manager shall carry out the policies laid down by the council and to that end he or she shall be the
chief executive officer and the head of the administrative branch of the city government and shall be
responsible to the council for the efficient administration thereof
(b) The manager shall attend all meetings of the council, except when his or her removal is being
considered, and keep them informed of the financial condition and future needs of the city and shall make
such reports as may be required by law, this charter, or ordinance, or may be requested by the council. He
or she shall make such other reports and recommendations as he or she may deem advisable,but may not
vote. He or she shall perform such other duties as may be prescribed by this charter, or required of him or
her by law, ordinance, or resolution of the council not inconsistent with this charter.
(c)The manager shall be an ex-officio member of all standing committees except the zoning board, but
may not vote.
(d) The manager shall prepare the annual budget and submit it to the council and be responsible for its
administration after adoption, in accordance with subchapter 13 of this charter.
(e) The manager shall compile for general distribution at the end of each fiscal year a complete report on
the finances and administrative activities of the city for the year.
(f)The manager shall provide to the council a monthly financial statement, with a copy to the city
treasurer.
(g) The manager shall be responsible for the enforcement of all city laws and ordinances.
(h)The manager shall be responsible for the collection of all taxes due the city.

(i) The manager shall be the general purchasing agent of the city and purchase all supplies for every
department thereof.
(j)The manager shall be responsible for the system of accounts, except where otherwise delegated under
this charter.
(k) The manager shall be responsible for the operation of all departments of the city,not otherwise
provided for in this charter or the laws of the state.
(1) The manager shall have exclusive authority to appoint, fix the salary of, suspend and remove, all
employees of the city appointed by him or her subject to the provisions of this charter. He or she should
advise the council of his or her intention before appointing,removing, or suspending the head of a
department.
(m)The manager may, when advisable or proper, delegate to subordinate officers and employees of the
city, any duties conferred upon him or her by this charter or by action of the council, and hold them
responsible for the faithful discharge of such duties,but the city manager shall remain ultimately
responsible to the council for all administrative actions under his or her jurisdiction.
(n)The manager,by letter filed with the city clerk,may appoint an officer or employee of the city to
perform his or her duties during his or her temporary absence or disability. In the event of failure of the
manager to make such designation, the council may by resolution appoint an officer or employee of the
city to perform the duties of the manager until he or she shall return or his or her disability shall cease.
However, if the manager has within his or her administration, formed and appointed the position of
assistant city manager, said assistant shall automatically assume the manager's responsibilities during his
or her temporary absence or disability.
§ 13-905. Compensation
The managers shall receive such pay as may be fixed by the council.
§ 13-906. Removal
(a) On 90 days'notice, the manager may be removed without cause by a majority of council so voting. He
or she may be suspended during this period,but his or her pay shall continue until his or her removal.
(b)Notwithstanding the above, the council may adopt a resolution stating their intention to remove the
manager and the reasons therefore, a copy of which shall be served forthwith on the manager who may,
within 10 days, demand a public hearing. Upon or after passage of such resolution, the council may
suspend him or her from duty,but his or her pay shall continue until his or her removal. If no appeal is
filed, the council may dismiss him or her. In the event of an appeal, the council shall hold a public hearing
not less that 10 days or more than 20 days from the date of appeal, after which they may dismiss him or
her.
§ 13-1101. Membership
(a) There shall be a steering committee,the members of which shall be the city manager,the
superintendent of South Burlington school district, the members of the council, and members of the board
of school directors.
(b)The committee shall elect a chairman and a clerk at its first meeting following the annual city meeting,
who shall serve until their successors are duly appointed and qualified.

SUBJECT: Dorset Park Natural Area Inventory and Analysis —UVM LANDS program
This week's meeting will feature a presentation by members of the University of Vermont's
LANDS program, revealing the results of their study of the Dorset Park Natural Area(Calkins)
and Oak Creek properties.
Last spring, the City and South Burlington Land Trust joined together to sponsor a team of nine
undergraduate student interns, led by two masters students in the Field Naturalist Program at the
University of Vermont.
The team, called the Land Stewardship (LANDS) Internship program, has just finished its third
summer of work. In 2009,they completed nine projects throughout Vermont, analyzing,
assessing, and providing expertise on properties throughout the state.
Team leader Lydia Menendez and intern Andrea Bruno will be making the presentation to

The City's Natural Resource Committee is currently working its way through this report with the
goal of developing a full Natural Resource Management Plan for the property. We are also

Re: Consideration of approval of recommendation from the City Services Funding
Committee on allocation of social services funding for FY 2010.
To all Members:
The approved budget FY 2010 includes an appropriation for local social services
agencies within the City Council line-item for City Services Funding in the amount of
$39,100.
Having solicited proposals from local social service agencies, the City Services Funding
Committee meets to review and make recommendation to the City Council for the
allocation of the total funding. On November 12, the Committee - made up of Councilor
Dooley, Dan O'Rourke, Roz Saunders, and myself, sitting in for Chuck, met to review
and discuss merits of the proposals. Tom Hubbard assisted with his insight of his
involvement with several agencies.
The Committee considered the requests and following careful deliberation on the
proposals and the community needs, makes the following recommendations:
1) That as a result of the budget constraints no new agencies be added in this
budget year allocation;
2) Accept the reduction in Special Needs Fund of$1,550 to $750; and,
3) Re-allocate the balance to agencies receiving contributions last year, with a
12.25% reduction pro-rata to 2009 levels of City funding.
Attached is the recommended allocation of the Social Services Funding for the current
budget period.
All of the supporting materials will be available at the meeting.
