Bonding Resolution to
Acquire and Renovate Property
at 19 Gregoy Drive in the City
WHEREAS, the City of South Burlington operates a Police
Department which is presently co-located with the City Offices at
575 Dorset Street; and
WHEREAS, the public safety and necessity of the City require
that the Department be provided a larger facility to accommodate
the Department' s employees and activities; and
WHEREAS, the City has entered into an option tO purchase a
portion of the land and building located at 19 Gregory Drive for
a price of $ ; and
WHEREAS, it is estimated that it will cost $
to renovate said property so that it is suitable for use by the
Police Department; and
WHEREAS, the City Council has determined that the estimated
total cost of $ is too great to be paid
out of the ordinary annual_income and revenue of the City of
South Burlington; and
WHEREAS, for the reasons set forth above, the City Council
has determined that authority to incur bonded debt is required to
acquire and renovate the above-described property;
NOW THEREFORE, IT IS HEREBY RESOLVED by the City Council of
the City of South Burlington that the proposition of incurring
bonded debt be submitted to the qualified voters of the City of
South Burlington in the foregoing form:
Shall the bonds of the City of South Burlington in an amount
not to exceed $ be issued for the

Gregory drive to accommodate the City' s Police Department?
IT IS FURTHER RESOLVED, that a vote on said proposition
shall be conducted by Australian Ballot at a Special City Meeting
' to be held on September 15, 2009 at the customary and usual
polling places in the City at which meeting the polls will open
at 7: 00 in the forenoon and close at 7 : 00 in the afternoon.
IT IS FURTHER RESOLVED, that the Warning for the above
mentioned Special City Meeting shall be published in the

2009 and that the Warning for such meeting shall be posted on or
before August 14th, 2009 on the City of South Burlington web

Re: Request for approval of tax rate to support the fiscal year ending June 30, 2010
budget, special assessment districts, user fees for sanitary water and sewer, and storm
water services; approval of tax due dates and fiscal year budgets.
To All Members:
The City is preparing to print and mail tax bills for FY 2009-2010. Please approve the
following tax rates and user fees based upon the voter approved budget and special
assessments.
General Levy: On March 3, 2009 the City voters approved the FY 2010 municipal
budget in the amount of$20,445,398.
The City's grand list is projected in the 2009/2010 budget at $26,750,000, a 1% increase
over the previous year. As this estimated grand list appears to be accurate, while still
allowing for possible appeals, the general tax rate is composed of:
City operating .3081

This tax rate will produce $9,646,050 in tax revenues.
Special Assessment Districts:
1. Spear Street Northeast— based on an annual levy of$5,638.50 and a district
property value of$3,770,700, the tax rate should be set at .150. The
assessment is for 50% of the cost to install sanitary sewers in 2002. This is the
seventh year of a ten-year assessment.
2. Spear Street South — based upon an annual levy of$5,862.48, each of the eight
properties in the district will be billed $732.81. (The Council approved this
special assessment on an equal share basis over ten years.) This is the seventh
year and requires a single payment invoice due July 15.

Sewer User Fee: The fee to support the Water Pollution Control budget for 2009-2010
is $25.95 per 1,000 cubic feet of water usage, as approved by City Council - a 12
percent increase into effect with all water billed after July 1, 2009. The fee for the Town
of Colchester was also approved by Council, to be set at $25.65 per 1,000 cubic feet per
contract agreement. This begins the accumulation of funds needed to support the
Airport Parkway Waste Water Treatment facility overhaul.
Water Fee: The fee to support the Water Department budget for 2009-2010 is $20.64
per 1,000 cubic feet of usage, a 5.6 percent increase into effect with all water billed after
July 1, 2009.
Storm Water Service Fee: The service fee to support the Public Works - Storm Water
Division is set at $4.50 per Equivalent Residential Unit (ERU) of 2700 sq. ft. of
impervious surface, the same as currently applied.
Tax Due Dates: 1st installment August 18, 2009
2nd installment November 16, 2009
3rd installment March 15, 2010
Budget Approval: Please approve the FY 2010 budget as warned in the public
hearing held January 22, 2009 and voted by the public.

Recommended Use of the Funds
Over the past two months, the South Burlington Energy Committee has worked through
the potential uses for the grant. After substantial consideration, the Committee has
recommended the following use of the funds:
Task #1: Perform Investment Grade Energy Audits of all Municipal Buildings (-$18,000)
An energy audit of a building is an assessment of energy use and leakage
throughout a building, from lighting to boilers & air conditioners to insulation. An
energy audit also includes costs for potential upgrades and the anticipated return
on these investments in terms of energy and dollars saved over time.
Completing these energy audits in place will help the City identify potentially
beneficial building maintenance and upgrades, some of which will be funded
through Task #2.
Task #2: Perform Energy Efficiency Retrofits to Municipal Buildings (-$57,500)
Using the results of the energy audits, funding will be used to make energy
upgrades to Municipal Buildings. Having the audits on hand will allow us to focus
on items that will produce the most effective return on the investments from the
grant.
In preparation for the grant application, we are currently working with Efficiency
Vermont to get an initial sense of which buildings and what types of upgrades we
may wish to focus on. Our intent is to write the grant in such a way that all
Municipal Buildings - including a potential Police Station- would be eligible, and
that the decisions regarding investments will be made based upon where our
returns can be maximized.
The Energy Committee has also recommended that the City take advantage of the
cost savings that occur from these investments be used in future years by the City
to make further energy upgrades - in effect using this grant as seed money for
energy (and therefore cost) saving investments on municipal buildings each years.
Task #3: Public Outreach Campaign for Energy Efficiency (-$10,000)
The Energy Committee felt that with the availability of these funds, there was a
tremendous opportunity to work with Efficiency Vermont, Vermont Gas, and
other programs and organizations to produce a simple, easy-to-use brochure of
what energy efficiency programs are available to individual households. This
brochure would be targeted to South Burlington residents and businesses, to make
them aware of the myriad tax credits, free home walk-throughs, and other
programs out there.
Staff Recommendations
Staff of the Planning & Zoning Department have worked closely with the Energy
Committee on this project list and fully supports the recommendations above.

SUBJECT: Energy Efficiency and Conservation Block Grant Opportunity
Earlier this Spring we received news that the City of South Burlington is eligible for an
energy efficiency grant of$85,500 through the American Recovery and Reinvestment Act
of 2009.
The grant, formally called the Energy Efficiency and Conservation Block Grant (EECBG),
allocates funds to the 10 largest communities in each state and all communities of over
35,000 in population across the country.
The purpose of the EECBG Program is to assist eligible entities in creating and
implementing strategies to:
• reduce fossil fuel emissions in a manner that is environmentally sustainable and, to
the maximum extent practicable, maximizes benefits for local and regional
communities;
• reduce the total energy use of the eligible entities; and
• improve energy efficiency in the building sector, the transportation sector, and
other appropriate sectors.
Further, as a part of the American Recovery and Reinvestment Act, one of the key
objectives of the program is to stimulate job creation and retention.
About the Grant
Each community must apply for the Grant, including a proposed work plan, energy
objectives, and cost estimates. The City is eligible to receive up to $85,500, with no
required local match. The Program includes a wide range of potential work programs, all
aimed at investments that will increase energy efficiency or promote renewable energy
production in our community.

Re: Route 2 Corridor Study
Protect Background
Currently, the Route 2 corridor between Burlington, South Burlington, and Williston is served by the
Umall/Airport route and the Williston route. The Umall/Airport route is CCTA's second highest ridership route
and carried 351,900 passengers in FY08. The Williston route has grown significantly each year and carried
79,088 passengers in FY08. Despite the ridership increases on these routes, neither of them provides direct
and convenient access along the entire length of Route 2 (Williston Road) between Burlington and Williston.
CCTA is therefore exploring several service options that would replace the existing Umall/Airport and Williston
routes with a direct Route 2/Williston Road route and a combination of other services in South Burlington,
Williston, and possibly Essex. Each of the service alternatives being considered would require an additional
$750,000 in funding, which CCTA is actively seeking.
Service Alternatives
CCTA has developed three possible service alternatives for the Route 2 corridor, referred to as Alternative A,
Alternative B, and Alternative C. All three alternatives include the same direct Route 2/Williston Road route, but
differ in how they serve the other portions of South Burlington, Williston, and Essex.
The Route 2/Williston Road route in all three alternatives would operate between downtown Burlington (Cherry
Street station) and Tafts Corners in Williston, with service:
Mon-Fri: 6:15 AM to midnight, with 15-minute peak hour service (between 6-9 AM and 3-6 PM, there
would be a bus every 15 minutes)
Saturday: 6:15 AM to 10:15 PM, with 30-minute service through most of the day
Sunday: 8:45 AM to 6:45 PM, with 60-minute service all day
Williston Village —We are also proposing to operate two AM and two PM trips as far east as Williston Village.
Public Comment on Service Alternatives
Because the outcome of this project will impact numerous current passengers and will affect potential future
riders, CCTA has developed a public comment process to complement our Route 2 Corridor study. In order to
obtain feedback on the three service alternatives from as many people as possible, CCTA plans to 1) post
information about the alternatives and a related survey on our website, 2) hold four public meetings (in
Burlington, South Burlington, Williston, and Essex) to discuss the service alternatives, 3) post notices of the
online data/survey and the four public meetings on all CCTA buses, and 4) advertise the online data/survey
and public meetings in local papers.
Next Steps
The online information and survey has been posted on the CCTA website (cctaride.org) and the public
meetings will take place during the month of June. CCTA anticipates using the results of the public comment
process as we develop a grant application for funding from VTrans to implement Route 2 Corridor transit
improvements.

Westford along with the Vermont Agency of Transportation, the Burlington International Airport, other
Williston affected jurisdictions (such as the City of South Burlington and Hinesburg) and interested
Winooski private sector partners to participate in a pilot study to determine mechanisms that could lead

Transportation to a creative financing plan for the advancement of a new Interstate Interchange at the
intersection of Vermont 116 and I-89. I will be joined on Monday by Brian Searles of the
Ex Officio Members Burlington International Airport, Christine Forde of the CCMPO, Jeff Nick of J.L. Davis
(representing interested private sector partners). The City of South Burlington Planning&
Chittenden County Zoning Director will also join us in providing you with background on this project and the
Transportation Authority
Burlington International outline for moving forward to deliver a report to the Legislature by November 1, 2009.

Regional Planning An Alignment Study for this intersection is nearly complete. There will be a separate

AIRPORT; CREATIVE FINANCING
A pilot project to examine the potential for a public-private initiatives program shall be
pursued for the advancing of an interchange on Interstate 89 along Vermont Route 116 in
South Burlington to explore improving future access to the Burlington International Airport
and to relieve the overburdened interchanges at Interstate 89 exits 12 and 14. Implementation
of the pilot study shall be carried out in cooperation, consultation, and with the support of the
Vermont agency of transportation,the Chittenden County metropolitan planning organization
(CCMPO), and other affected local jurisdictions and project partners. The CCMPO, with the
cooperation of the agency of transportation, is directed to prepare a creative financing plan for
the advancement of a project to construct an interchange at the above-mentioned location and
deliver the plan to the legislature by November 1, 2009.

South Burlington Police Station
Synopsis of Miller Proposal
R.E.M. Development Company, LLC, has submitted proposals for the lease or sale of
space in a building located at 19 Gregory Drive.
The entire building is 45,100 SF., with 11,875 SF leased to a solid long term tenant. The
owner will sell the entire building, or lease and/or sell the remaining 33,225 SF.
The owner proposed to sell 33,224 SF for$4,400,000, or$132 / SF. Lease terms may
depend on the financing secured, but the base rent could be less than $10/ SF based on
preliminary discussions. This indicates an annual figure of$320,000+/-, or $26,667 /mo.
The sub-lease of excess space could further reduce costs.
The site is 3.76 acres and has improved parking for 155 vehicles. Zoning here does not
currently permit municipal facilities.

Dear Chuck:
In response to the R.F.P we offered to sell 19 Gregory Drive "as is" for $6,000,000.00. We also
offered to do a Lease with the option to purchase, but with no detail.
During the week of February 21, 2009 while on vacation I received a call from Mike Simoneau
requesting further details on how I would be willing to structure a lease purchase option. I
suggested that I would be back in Burlington on February 28, 2009. As you know a meeting was
scheduled for Monday, March 2, 2009 for 9:30 AM at City Hall With the following persons in
attendance: Chuck Hafter, Town Manager, Trevor Whipple, Police Chief, Mike Simoneau,
Project Consultant, Bob Miller, R.E.M Development Co.,LLC, and Tim Miller, R.E.M
Development Co., LLC.
The plans were reviewed and Chuck questioned whether the amount of space could be reduced,
and could the city lease out surplus space until needed?
1 I suggested that the plans we are reviewing came out of our interpretation of the R.F.P. and if our
site is selected our architect would work with the committee to reduce the footprint.
I would like to recap the existing building footprint:
1' floor 23,474 S.F.
2"d floor 21.625 S.F.
Total 45,099 S.F.
The exiting 2nd floor lease space is -11.875 S.F

We had included a 1.250 addition as part of the sally port area which is not included in the above
numbers.
It is my understanding the goal would be to get to around 28,000 S.F. This would leave surplus
space of approximately 5,000 S.F.
Next we discussed financing options and methods. The following is what was agreed to as an
option:
1. The six million ($6,000,000.00) would be split into two (2)parts:
a.) $4,400.000.00 for the 33.224 S.F. "as is" space for the police department, the
principal i.e.: $4,400,000.00 will be divided into (20) annual payments of
S220,000.00. The annual interest rate will be 4% fixed for the first five(5) years,
principal and interest payments will be made on a quarterly basis.
b.) S1,600.000.00 for the 11.825 S.F. that is leased and will be controlled by R.E.M
Development. It will be structured on the same basis, (20) annual payments of
S80.000.00 with an interest rate of 4% fixed for the first five (5) years paid on a
quarterly basis.
c.) The city will have the right to purchase the property with no prepayment penalty
anytime during the first five years at the principal balances at that time.
d.) R.E.M Development Co., LLC will offer the same terms on the fitup of the space.
e.) R.E.M Development Co., LLC will be allowed to factor interest of 4%on the
$4,400,000.00 from April I, 2009 as part of this proposal.
f.) At the end of the first five years. if the city has not exercised its option to purchase,
the developer will seek new financing terms from a local bank or banks, the then rate
and term will replace the 4% used for the first five years.
g.) If the parties go forward with this proposal it will require it to be in legal form
acceptable to both parties.
The information herein is presented to the City of South Burlington as a further inducement, but
in no way commits either party until legal documents are prepared and executed.
