ATTORNEYS REPORT AND OPINION ON TITLE
RECORD OWNER: Davis Chan and Shiao-Fa Tao
PROPERTY DESCRIPTION:
See attached copy of the Warranty Deed from Germaine Terner and Monique Terner to
Davis Chan and Shiao-Fa Tao dated September 29, 1993 and recorded October 8, 1993 in
Volume 351, Page 640 of the City of South Burlington Land Records.
The following opinion and report on the title of the record owner to the above described
property is based on an examination of the appropriate records of the City of South Burlington.
It is furnished in connection with a proposed sale to Aloy, LLC for a purchase price in the
amount of $100,000.00 and a proposed mortgage to the Franklin-Lamoille Bank as security for a
loan in the amount of $100,000.00; it is for the sole use of the purchaser and mortgagee above
named; and it is not transferable.
Based on such examination and the assumption that the records examined are currently
and correctly indexed in the general indices, it is my opinion that, except as set forth below, on
the effective date of this report the title of the record owner is a marketable title in fee simple:
1. MUNICIPAL CHARGES: (Unless otherwise indicated, these are based on oral
verification by the appropriate municipal officer.)
a. Assessed Valuation - $102,900.00
b. Taxes for urrent fisca& eriod - Taxes for the July 1, 2000 to June 30, 2001
tax yj are $2,539.56 le in three installments of $846.52 due August 15,
2000, r 000 and March 15, 2001. The August 15, 2000 and
November 15, 2000 installments have not been paid.
C. Delinquent Taxes - The South Burlington City Clerk's Office reports delinquent
taxes in the amount of $4,833.25 in connection with the property covered by this

Opinion. This amount includes the taxes for the 1999-2000 tax year, the
installments due August 15, 2000 and November 15, 2000 and penalties and
interest. This amount must be updated prior to closing.
d. Street, Curb and Sidewalk assessments - None of record.
e. Water Liens - The South Burlington Water Department reports that delinquent
bills in the amount of $287.32 are outstanding as of December 21, 2000. This
amount includes the unpaid bills referenced in the Notice of Water/Sewer and/or
Service Charge Lien filed by the City of South Burlington Water Department
dated June 29, 2000 and recorded July 5, 2000 in Volume 478, Page 135 of the
City of South Burlington Land Records. The water has been shut off and the city
will charge a fee of $25.00 when the water service is restored. See also
Attachments and Liens below.
f. Electricity Liens - Green Mountain Power Corporation indicates that any unpaid
bills assessed to the current or prior owners of the property will not be charged to
the new purchaser.
g. Sewer Assessments - See water liens above.
h. Fire District, School District or other Municipal Liens or Assessments - None of
record.
2. MORTGAGES: The property is subject to a Mortgage Deed from Nei Erh Tau, Davis
Chan and Shiao-Fa Tao to the Vermont National Bank dated September 29, 1993 and
recorded October 8, 1993 in Volume 351, Page 643 of the City of South Burlington Land
Records. The Mortgage indicates that it secures a debt in the original principal amount of
$54,600.00.
3. ATTACHMENTS and LIENS: A Notice of Water/Sewer and/or Service Charge Lien
filed by the City of South Burlington Water Department dated June 29, 2000 was
recorded July 5, 2000 in Volume 478, Page 135 of the City of South Burlington Land
Records. The Lien claims a debt in the amount of $266.72. This amount is included in
the delinquent water and sewer bills set forth above.
4. EASEMENTS AND RIGHTS -OF -WAY:
a. The property has the benefit of and is subject to certain easements and rights of
way in connection with a shared driveway set forth in the Warranty Deed from
Mary S. Roberge to Edward Terrier dated January 26, 1978 and recorded January
26, 1978 in Volume 139, Page 312 of the Town of the City of South Burlington 'A�

Land Records. A copy is attached.
b. Portions of the property may be subject to an easement for water main set forth in
the deed from Carl F. Robinson to the City of South Burlington Water
Department dated February 3, 1938 and recorded February 18, 1938 in Volume
15, Page 162 of the City of South Burlington Land Records.
5. PROTECTIVE COVENANTS: OTHER RESTRICTIONS OF RECORD: The
property covered by this Opinion is subject to certain covenants set forth in the Warranty
Deed from B.F. White and Mamie E. White to Carl F. Robinson and Helen B. Robinson
dated November 12, 1927 and recorded November 12, 1927 in Volume 12, Page 47 of the
City of South Burlington Land Records. This Warranty Deed conveyed 24 lots located
on the north side of Proctor Avenue. The Deed contained the following language:
"This Deed is given and accepted by the Grantees herein on the express condition
that there shall erected on said lots only dwelling houses with garages and other
necessary out buildings that the cost of such dwelling houses shall be $3,000.00 or
more, each, and that no part of any structure shall be erected on said lots within
ten (10) feet of the north line of Proctor Avenue."
6. LEASE LAND RENT: Several deeds conveyin -o es on Proctor Avenue indicate
that the property covered by this Opinion may e lease 1 d.
7. COMPLIANCE WITH STATE SUBDIVISION REGULATIONS: See attached
letter.
8. COMPLIANCE WITH ACT 250: See attached letter.
9. VERMONT LAND GAINS TAX: The property covered by this Opinion was conveyed
to Davis Chan and Shiao-Fa Tao by Warranty Deed of Germaine Terrier and Monique
Terrier dated September 29, 1993 and recorded October 8, 1993 in Volume 351, Page 640
of the City of South Burlington Land Records. The property will be conveyed to Aloy,
LLC by Guardian's Deed of Estella Chan, Guardian for Davis Chan and Administrator's
Deed of Charlie Tao, Administrator of the Estate of Shiao-Fa Tao. Davis Chan has held
title to the property longer than 6 years and no land gains tax filing for Chan's interest
will be necessary. A Certificate of Death filed in South Burlington Vital Records
indicates that Shiao-Fa Tao died on March 22, 1999. Tao's estate must file land gains tax
returns.
10. FLOOD PLAIN: Not checked.
11. ZONING: See attached letter.

12. OBJECTIONS TO TITLE AND OPINIONS THERETO; REMARKS:
a. Plan. The Warranty Deed from Mary S. Roberge to Edward Terner dated January
26, 1978, recorded January 26, 1978 in Volume 139, Page 312 of the City of
South Burlington Land Records refers to a Plan prepared by Warren Robenstein
dated December 1977. Although I was unable to find a Plan dated December
1977 of record in the South Burlington Land Records, a Plan entitled "Plan of CL
t / Survey showing property of Marshall J. and Mary S. Roberge Property, Proctor
Avenue, South Burlington, VT" prepared by Warren A. Robenstein, LS dated
March 1978 was recorded April 20, 1978 in Volume 107, Page 161 of the City of
South Burlington Land Records. A copy of the Plan is attached.
b. The Warranty Deed from Mary S. Roberge to Edward Terner dated January 26,
1978 and recorded January 26, 1978 in Volume 139, Page 312 of the City of
South Burlington Land Records granted a right of first refusal to the grantee
Edward Terner, his successors and assigns in the event the grantor chooses to sell
the remainder of her property located easterly of the property conveyed. Mary
Roberge conveyed her remaining property to the Merchants Trust Company,
Trustee for Mary Roberge pursuant to a written Trust Agreement dated June 28,
1989 by Quitclaim Deed dated June 28, 1989 and recorded June 29, 1989 in
Volume 280, Page 504 of the City of South Burlington Land Records.
The property covered by this Opinion was decreed to Germaine Terner and
Monique Terner, Germaine Terner Guardian by Decree of Distribution issued by
the Probate Court, District of Chittenden in the matter In Re: Estate of Edward
Terner dated August 10, 1987 and recorded October 8, 1993 in Volume 351, Page
635 of the City of South Burlington Land Records. The property was
subsequently conveyed to Davis Chan and Shiao-Fa Tao by Warranty Deed of
Germaine Terner and Monique Terner dated September 29, 1993 and recorded
October 8, 1993 in Volume 351, Page 640 of the City of South Burlington Land
Records. The Warranty Deed to Davis Chan and Shiao-Fa Tao indicates that
Germaine Terner was the surviving spouse of Edward Terner and Monique Terner
at the time of Decree of Distribution was the surviving minor daughter of Edward
Terner. Although Monique Terner signed the Warranty Deed there is no
indication that she was no longer a minor at the time of the conveyance to Chan
and Tao.
d. The property covered by this Opinion is a portion of a parcel of land conveyed to
Marshall J. Roberge and Mary S. Roberge, husband and wife as tenants by the
entirety, by Warranty Deed of Carol F. Robinson and Helen B. Robinson dated
May 17, 1945 and recorded May 24, 1945 in Volume 20, Page 53 of the City of
South Burlington Land Records. The property was subsequently conveyed to
Edward Terner by Warranty Deed of Mary S. Roberge, widow, dated January 26,

1978 and recorded January 26, 1978 in Volume 139, Page 312 of the City of
South Burlington Land Records. Although the Deed to Terrier indicates that
Marshall J. Roberge was deceased, no Death Certificate is recorded in the South
Burlington Vital Records.
e. A Mortgage deed from Edward Terrier to Mary S. Roberge dated January 26,
1978 and was recorded January 26, 1978 in Volume 140, Page 32 of the City of
South Burlington Land Records. An Assignment from Mary S. Roberge to the
Farmers Trust Company, Trustee pursuant to a Trust Agreement dated June 24,
1976, the Assignment being dated February 2, 1978 was recorded July 23, 1993 in
Volume 347, Page 322 of the City of South Burlington Land Records. The land
records indicate that the recorded Assignment was a copy not an original. The
Mortgage was discharged by the Merchants Trust Company, formerly the Farmers
Trust Company by Discharge dated December 16, 1988 and recorded July 13,
1989 in Volume 140, Page 33 of the City of South Burlington Land Records.
£ The property covered by this Opinion was conveyed to Davis Chan and Shiao-Fa
Tao as tenants in common by the Warranty Deed of Germaine Terrier and
Monique Terrier dated September 29, 1993 and recorded October 8, 1993 in
Volume 351, Page 640 of the City of South Burlington Land Records. A Death
Certificate for Shiao-Fa Tao was recorded in Volume 22 (Deaths) 1999, Page 22
of the City of South Burlington Vital Records. The Death Certificate lists the date
of death as March 22, 1999.
g. A Certificate of Appointment in the matte In Re: Guardianship Estate of Davis
Chan, Chittenden Probate Court Docket No. 11970 dated November 29, 1999 was
recorded August 2, 2000 in Volume 481, Page 418 of the City of South
Burlington Land Records. The Certificate indicates that Estella Chan had been
appointed guardian of the Guardianship Estate of Davis Chan on November 24,
1999.
h. A Certificate of Record in the matter In Re: Guardianship Estate of Davis Chan,
Chittenden Probate Court Docket No. 11970 dated June 1, 2000 was recorded
August 2, 2000 in Volume 481, Page 419 of the City of South Burlington Land
Records. The Certificate indicates that it accompanies an attached copy of a
License to Sell Real Estate. The License to Sell is not recorded.
i. A Guardianship Deed from Estella Chan, Guardian of the Estate of Davis Chan, to
Nabil Costandi and Eva M. Costandi dated July 28, 2000 was recorded August 2,
2000 in Volume 481, Page 420 of the City of South Burlington Land Records.
The Deed indicates that it conveyed all of the real estate owned by Davis Chan in
the City of South Burlington however the property description specifically
describes property located at 22 Knoll Circle in South Burlington. Accompanying

the Guardianship Deed was a Warranty Deed from Estella Chan to Nabil Costandi
and Eva M. Costandi dated July 28, 2000 and recorded August 2, 2000 in Volume
41, Page 423 of the City of South Burlington Land Records. The Warranty Deed
and Guardianship Deed both describe the property being conveyed as property
located at 22 Knoll Circle and being property conveyed to Davis Chan and Estella
Chan by Warranty Deed of Derrick McLean and Patricia McLean dated August 7,
1991 and recorded in Volume 309, Page 345 of the City of South Burlington Land
Records.
13. EXCEPTIONS: This report does not cover; and this opinion is subject to:
Rights of tenants or claims of parties in possession of all or any portion of the
property.
b. Mechanics' or Materialmen's Liens not recorded.
C. All applicable statutes, ordinances, and regulations of governmental bodies
including use, zoning and building restrictions, imposed by them except as
included in paragraph 7 above.
d. Any facts which would be disclosed by a physical survey or inspection of the
premises, with particular reference to location of boundaries, the amount of
acreage or accuracy of bearings or distances contained in deed descriptions, and
the availability or adequacy of public or private utilities and services.
e. Except where indicated, Probate, Bankruptcy and other Court records, and records
of birth, death, marriage and divorce; or the records of the formation, existence,
registration, status or authority of any entity which is a party to any document
affecting the title to the property.
f. Special assessments or liens, if any, not shown of record.
g. The existence of any lien for Federal Estate or Gift Taxes for which no record is
required.
h. Any violations of law, ordinances, order or requirements noted in or issued by any
federal, state or municipal department having jurisdiction affecting the premises,
included, but not limited to, Land Use Permits (if any); subdivision permits,
failure to file notice of new or existing underground storage tanks; and notice of
hazardous wastes. Specifically, no certification is made as to matters involving
subdivision, development, zoning, or environmental permits or approvals. Further
our search has been limited to only the municipality in which the land lies, as
stated in the deed(s) of conveyance. We are rendering no opinion as to whether
an Act 250 Permit is or is not required in connection with the sale or the use of the
premises.

and his heirs and assifns forever, a
certain piece of land in South Burlington in the
County of Chittenden and State of Yermont, described as
follows, viz:
A piece or parcel of land, with nursing home building and other improvements
thereon, located on the northerly side of Proctor Avenue, the nursing home
building being commonly known as 38 Proctor Avenue, and being more partic-
ularly described as follows:
Being a portion of the lands and premises conveyed to Marshall J. Roberge (now
deceased) and Mary 'S. Roberge, as tenants by the entirety, pursuant to a
warranty deed, dated May 17, 1945, of Carl F. Robinson and Helen B. Robinson,
recorded in Volume 20, Page 53 of the Land Records of the City of South Burlington.
The piece or parcel of land so described herein shall be benefited by an easement
and right of way, for pedestrian and vehicular use, on and over the driveway
lying next northerly to the said nursing home building, to be used in common for
the benefit of the lands retained by the Grantor, subject, however, to the
following conditions:
1. The driveway shall be maintained and repaired in a state
satisfactory for use as a driveway and parking areas, all
at no cost to the Grantor, her successors and assigns.
2. The driveway shall be kept unobstructed so as to permit vehicular
and pedestrian traffic to move freely to and from Proctor Avenue.
3. The width and length of the driveway shall not be increased or
reduced except by agreement of the Grantor and the Grantee on
their respective heirs, successors or assigns.
Said piece or parcl of land subject to certain covenants recreated in Volume 12,
Page 47 of the Land Records of the City of South Burlington.
Reference is hereby made to a survey of such lands and premises, dated
December , 1977, prepared by Waren Robenstein, recorded in Volume , Page of
the Land Records of the City of South Burlington.
Reference is hereby made to the above -mentioned deed and to the records and
references therein contained in further aid of this description.
