LEASE AGREEMENT
Preamble and Statement of Purpose:
THIS AGREEMENT ("Agreement") is entered into this Z04"_ day of

hereina er referred to as LESSOR, and Bread and Butter Farm, LLC, a Vermont Limited
Liability Company engaged in the business of farming, hereinafter referred to as
"LESSEE" to lease a certain parcel of land for the purpose of erecting a sign.
NOW THEREFORE for good and valuable consideration stated herein, the sufficiency of
which is hereby acknowledged, the parties agree as follows:
1. Agreement to Lease
LESSOR agrees to lease to LESSEE, and LESSEE agrees to rent from LESSOR, a parcel

2. Lease Term, Renewal and Termination 0 /
This lease shall run for a one-year term. Unless otherwise agreed, upon the expiration of
the one-year term, the term will run from year to year and shall automatically renew on

leasehold. Written notice of intent to terminate must be delivered at least 6 months prior
to the annual renewal date.
3. Permitted Uses
LESSOR permits, authorizes, and consents to LESSEE'S use of the Premises in a manner
consistent with erecting a sign for purposes of LESSEE'S business enterprise.

(i) This agreement shall be binding on all persons who may succeed to the rights
of LESSOR including but not limited to heirs, executors, assigns and purchasers
as applicable and in accordance with this Agreement.
(ii) LESSEE may not assign this lease agreement.
6. Indemnity

LESSOR shall not be liable to.LESSEE or its agents, servants, customers, invitees, or any
other persons for any damage to person or property caused by any act, omission or
neglect of LESSEE and LESSEE agrees to indemnify and hold LESSOR harmless from
all liability and claims for any such damage.
Any duty owed to invitees, guests or trespassers incident to or arising out of the operation
of LESSEE shall be the sole responsibility of LESSEE.
7. No Partnership Created
This lease shall not be deemed to give rise to a partnership relationship between LESSOR
and LESSEE and neither party shall have authority to obligate or bind the other.
8. Default
A default under any of the provisions of this Agreement by either party may be cured by
the defaulting party within thirty (30) days of receipt of a notice of default. Failure to
cure shall constitute -grounds for termination of the lease at the election of the non -
defaulting party.
9. Severability
If any part of this Agreement is invalid or unenforceable, the balance of this Agreement
shall remain effective, absent such provision.
10. Merger
This Agreement represents the entire agreement between the parties.
11. Amendments
No change in this Agreement shall be effective unless it is in writing and signed by both
LESSEE and LESSOR.

effective as of the date set forth above.
